Abstract

A contract should attempt to definitely fix the obligations of each party in order to avoid ambiguities and indefiniteness leading to controversy. A practice of attempting to rely on exculpatory clauses so as to attempt to impose all risks on the contractor is a poor policy and generally ineffective. Inadequate preliminary studies and design is less expensive engineering but ultimately most expensive contracting.
